Character.AI
Character.AI is an American artificial intelligence character-companion application founded in 2021 by Noam Shazeer and Daniel De Freitas, both former senior researchers at Google Brain. The company is headquartered in Menlo Park, California and operates the Character.AI consumer product, providing AI character chat experiences across millions of user-created characters. In August 2024, Character.AI underwent corporate restructuring: the founder team (Noam Shazeer, Daniel De Freitas) and senior researchers moved to Google DeepMind through a reported $2.7 billion talent-and-licensing transaction, with the residual Character.AI entity continuing to operate the consumer product under interim CEO Dominic Perella. The transaction was characterized in industry coverage as one of several large frontier-lab talent-acquisition transactions in 2024 alongside Inflection AI's transition to Microsoft and the Adept-to-Amazon transaction.

Origins
Character.AI was founded in 2021 by Noam Shazeer and Daniel De Freitas. Shazeer was the lead author of the original Transformer paper ("Attention Is All You Need," 2017) and one of the most senior researchers at Google Brain prior to founding Character.AI. De Freitas was a senior researcher at Google who had worked on dialogue systems including LaMDA.
The product launched in late 2022 and grew rapidly through 2023 to 2024 as a consumer AI companion application, with youth-and-Gen-Z adoption. The Character.AI product was characterized by user-created AI characters with persistent memory and dialogue, distinguishing the product from contemporary AI assistant alternatives.
In August 2024, Character.AI underwent corporate restructuring. Google DeepMind paid approximately $2.7 billion in a talent-and-licensing transaction that brought Shazeer, De Freitas, and senior Character.AI researchers into Google. The transaction was structured as a non-acquisition (Google did not acquire Character.AI as a corporate entity) but with talent and intellectual-property licensing. The residual Character.AI entity continued operating the consumer product under interim leadership.
The 2024 to 2026 period has seen the residual Character.AI continue operating the consumer product alongside questions about the company's longer-term trajectory. The transaction has been characterized in industry coverage as one of several large frontier-lab talent transactions in 2024.
Mission and strategy
Character.AI's pre-restructuring mission emphasized AI characters and conversational companionship as a consumer product category. Post-restructuring, the residual entity continues operating the consumer product with substantially reduced research-and-engineering capability relative to the pre-2024 state.
